This Volunteer Apprenticeship Agreement ("Agreement") is made as of the date of signature below, by and between Alambda Systems, LLC, located at 911 Washington Ave, Suite 838, St. Louis, MO 63101, ("Alambda"), and the undersigned individual ("Apprentice").

1. Purpose

This Agreement outlines the terms under which the Apprentice will serve as a volunteer apprentice with Alambda and sets forth obligations regarding confidentiality and competition.

2. Volunteer Nature

The Apprentice acknowledges and agrees that:

• This apprenticeship is voluntary and unpaid.
• Participation does not create an employment relationship.
• The purpose is for training, mentorship, and educational development in AI, cloud computing, software engineering, cybersecurity, and related disciplines.

3. Confidentiality (Non-Disclosure)

The Apprentice agrees to maintain strict confidentiality regarding all proprietary and sensitive information accessed or received during the apprenticeship, including but not limited to:

• Alambda's AI models, systems, source code, architecture, and internal tools;
• Project work, research, training materials, curriculum outlines, and strategies;
• Client, government, healthcare, or partner data, communications, and contracts;
• All discussions, code, files, or intellectual property related to internal Alambda initiatives.

4. Non-Compete & Intellectual Property

For the duration of the apprenticeship and for one (1) year after its conclusion, the Apprentice shall not develop, promote, or operate any educational AI platform or apprenticeship program that mimics or directly competes with Alambda's systems.

All inventions, code, documentation, or AI tools developed during the apprenticeship shall be considered property of Alambda Systems, LLC, unless otherwise agreed in writing.

5. Team Structure & Participation

As part of the Alambda Cadet Program, you will be assigned to work in teams focusing on the following areas:

• Team 1 – AI & Data Science: Develop models, chatbots, embeddings, and clinical intelligence tools.
• Team 2 – PLM / Lifecycle Management: Manage MLOps flows, product lifecycle workflows, and DevOps automation.
• Team 3 – Python Software Development: Code the backend tools for dashboards, APIs, and automation.
• Team 4 – Business Development & Strategy: Craft proposals, pursue RFPs, and build growth channels and documentation.

Each cadet will participate in two teams, contributing to multiple areas of expertise while developing specialized skills.
